This Membership Income Program Rules & Agreement ("Membership Agreement" or "Agreement") of your Membership is made by and between:

ISGincome Group USA, Inc.;

ISGstores Group USA, Inc.;

ISGbids Bids Group, Inc.;

ISG Charity Bids Group, Inc.; and

ISGincome
(all collectively hereinafter referred to as "ISGincome" or "ISG" or "ISG Group", "ISGincome Membership Income Program", Membership", and/or "ISG Group Companies")

and

You
(hereinafter referred to as "You", "Your", or the "Member", referring to the name listed in your Application).

1.  INTRODUCTION ABOUT & PURPOSE

(i)  WHEREAS, ISG Group Companies offers for sale in both the retail and wholesale consumer markets, products and services direct to the public and online through the Internet in various websites owned, operated, and managed by ISGstores Group, Inc., a corporation duly organized, existing, and operated under the laws of the State of Florida;

(ii) WHEREAS, ISGincome is a subsidiary of ISGstores Group USA, Inc., and has created a "club" ("Membership Program") referred to as the "ISGincome Membership Income Program" where people can sign up and join and pay a Membership Fee, and as a personal benefit and personal gain to the person, ISGincome will pay them a monthly residual, supplement payment;

(iii) WHEREAS, This is a Membership Program existing for the purpose of operating a club membership by getting people together to help build a network of specifically focused Internet Store websites, Informational websites, and Penny Auction websites ("network"), and have the Members derive a personal benefit and gain from their help to the ISG Group of companies, but they will not own any percentage of ownership of the network, Internet Store websites, the Informational websites, or the Penny Auction websites, or in any company of the ISG Group Companies; the Members will receive a flat, monthly payment for helping to build this network, and, in the event a benefits program is created and implemented, the Members will be granted other benefits if such program is implemented;

(iv)  WHEREAS, The Member or person who is registering to sign up and join a Membership Income Program and paying a Membership Fee, is required to read the entire content of these Rules (terms and conditions) first before they pay their Membership Fee for any ISGincome Membership Income Program  Once they have read this Membership Agreement and Rules and pay their required Membership Fee, they are automatically stating that they have read these Rules, understand what they have read, agree to the Rules' terms and conditions, and voluntarily join the Membership Income Program of their choice, and agrees to adhere, abide by, and be bound and subject to these Rules in order to get their monthly payment;

(v) WHEREAS, the Rules (terms and conditions) may state the same terms and conditions repeatedly throughout this Membership Application and Agreement, and is purposely done to emphasize the importance of that terms and condition  Redundancy (repeating the same thing over and over) is purposely written in below.

(vi)  NOW THEREFORE, it is agreed by You and ISGincome as follows:

2.  DEFINITIONS

(i)  The names "ISG" or ISG Group shall refer collectively to and mean: "ISGincome", "ISGincome Group", the "network", the "website network", "ISGincome Internet Store websites", "The Internet Store Group", "ISGincome Group USA, Inc.", "ISGstores Group USA, Inc."; "ISGbids Bids Group, Inc."; "ISG Charity Bids Group, Inc."; "ISG Membership Income Program"; "ISG Membership Program", "Membership Income Program"; "Membership Program"; and "ISG", when not otherwise specifically stated.

(ii)  The words "Agreement", "Agreement"s, "Membership", "Memberships", "Membership Income Program", "Membership Income Programs", "Membership Agreement", and "Membership Agreements" shall refer to and mean the same as the Membership and Membership Agreement and shall be bound by and subject to the "Rules".

(iii)  The words "Rules", Policies", "Procedures", "Terms" and "Conditions" shall refer to and mean the sameand shall apply to the Membership and Membership Agreement and shall be referred to as "Rules".

(iv)  The words "website" or "websites" shall refer to and mean "Internet Store websites", "Informational websites and/or Penny Auction websites.

(v)  The "NOTICE, Rules, Policies, Procedures, Terms and Conditions contained and listed in the Membership Income Program Applications are made a part of the Agreement and Rules herein.

3.  TERM (LENGTH OF TIME OF THIS AGREEMENT)

(i)  This Agreement shall become effective and commence on the date you paid your Membership Fee.

(ii)  Your Membership does not expire - it will continue until such time as either the website or department within an Internet Store website your Membership is assigned to fails to perform and the website, or you cancel and terminate your Membership, or in the event that ISGincome terminates your Membership, or another event occurs as otherwise provided for in this Membership Agreement.

4.  RESPONSIBILITIES, OBLIGATIONS, AND APPLICATION OF RULES

(i)  The below are the Rules of the ISGincome Membership Income Program  These Rules apply to all of the ISGincome Membership Income Programs  These Rules are written in plain English for ease of reading and understanding.

(ii)  Upon joining any ISGincome Membership Income Program and paying your Membership Fee, you agree to adhere, abide by and be bound and subject to these Rules  You further understand, acknowledge and agree as follows:

(ii)  This Agreement states the obligations and responsibilities that ISG Group has to you, and the obligations and responsibilities that you have to ISGincome and the Membership.

(iii)  The Rules are the "terms and conditions" of all Membership Income and all other Programs offered by the companies listed in this Membership Agreement.

(iv)  I understand that to get a monthly, supplemental income from ISGincome all I need to do is pay a Membership Fee to join a Membership Income Program, and I do not have to talk to anyone, recruit anyone, sell anything to get paid, but if I want to earn additional income from ISGincome by either joining additional Membership Income Programs, or, if I want to exert effort in doing more to earn more money, I can refer others to join through the ISGincome Referral Income Program and earn a commission, I can do that for an additional income.

5.  SIGNING UP / JOINING & MEMBERSHIP IDENTIFICATION NUMBERS

(i) To join any Membership Income Program You need to complete this Membership Application above, read the Agreement's Rules (terms and conditions) below and agree to them, and when you complete these procedures, you click on the SUBMIT button and then return to the ISGincome Programs page and click on the Membership Income Program you want to join, click on the program, then pay your Membership Fee.

(ii)  After you have submitted your payment, ISGincome will e-mail you a "Welcome Package" with your Membership Identification Number within 24 hours upon receipt of your PayPal Membership Fee payment.

(iii)  Signing Up For a Single Membership Or Multiple Memberships:

(a)  You can sign up for a single Membership; or

(b)  You can sign up for multiple Memberships within the same initial sign up by adding additional Memberships to your shopping cart on PayPal;

(c)  However, once you completed your first Membership sign up, for each additional Membership you want to sign up for you have to return to this Membership Application and Agreement and complete this Membership Agreement Again, but you will still be able to add additional Memberships to the transaction, just like the first transaction, and then submit it.

(b)  For each additional Membership that you want to join, you must return to this Membership Agreement complete it and submit it so a number is generated for identification for the additional Membership Agreement.

6.  SUPPLEMENTAL INCOME ONLY

(i) You are interested in developing a business relationship with ISGincome to earn supplemental income in addition to your current income.

(ii) You hereby state and agree that any potential, supplemental income is derived separate and distinct from your current income and that the ISGincome Membership Income Program(s) compensation is only supplemental-in-nature income and that this supplemental income will not be relied on as the sole means of your income and financial support.

7.  GENERAL MEMBERSHIP INFORMATION

(i)  HOW DO YOU MAKE MONEY?

(ii)  WHAT ARE YOU PAYING FOR?

(iii) WHAT ARE THE BENEFITS YOU RECEIVE WHEN YOU JOIN ANY ISGINCOME MEMBERSHIP INCOME PROGRAM?

(iv)  HOW MUCH MONEY CAN YOU MAKE AS AN ISGINCOME MEMBER?

(v)  WHY WILL ISGINCOME PAY ME?

(a) To answer all of the above questions: You make money simply by becoming a Member  You are paying a Membership Fee for the privilege of getting a monthly payment as a Member  Your Membership Fee is used by the ISG Group to build its network of Internet Store websites, Informational websites, Penny Auction websites, and to pay day-to-day operating costs of the network and ISG Group staff  Your Membership fees help these companies to reach their business goals  To show our appreciation to You and others for joining our Membership Program and helping us build our networks, we thank you by paying you a monthly, residual income from one or several of the Internet Store websites, Informational websites and/or Penny Auction websites  As mentioned above, these payments will continue for the life of the Internet Store website, Informational website or Penny Auction website that your Membership is assigned to, as long as that website remains online and active  You deserve to get paid for helping us! At this time, the personal benefit and gain that you receive from paying Membership Fee is your monthly payment as outlined in this Membership Agreement.

(b)  For accounting and tracking purposes each Membership will be assigned a website and Identification Number, per Membership Agreement  A ISG Group website can have up to ten (10) Membership Agreements assigned to it.

(c)  Members can increase the amount of their monthly payments they receive by signing up for additional Memberships and/or referring others to join and/or selling advertising spaces on one or several of the ISG Group Companies websites.

(d)  The monthly amount you receive from ISGincome depends on how many Memberships you have signed up for and paid the required Membership Fees.

8.  WHAT ISGINCOME MEMBERSHIP INCOME PROGRAMS ARE NOT, AND WHAT YOU DO NOT HAVE TO DO

* - This is not any type of Referral-Network-Marketing ("RNM") Program.

* - This is not any type of Multi-Level Marketing ("MLM") Program.

* - This is not any type of Affiliate Marketing ("AMP") Program.

* - ISGincome is not selling any stock shares or interest in any of its affiliated companies.

* - ISGincome is not selling any stock shares or interest in any of its affiliated websites.

* - You are not becoming a business partner of any ISGincome company.

* - You are not buying an Internet Store website from ISGincome or any of its affiliated companies.

* - You are not required to talk to others to make money.

* - You are not required to recruit others to make money.

* - You are not required to advertise anything to make money.

* - You are not required to sell anything to make money.

* - You are not required to do anything other than read this Membership Agreement, submit it, and pay your required Membership Fees.

9.  COMPENSATION PLANS

(A)  Membership Income Programs

(i) For the $300.00 Membership Fee per Membership, you get paid $75.00 each month, per Membership, starting in thirty-five (35) to forty-five (45) days from the date you paid your Membership Fee in-full.

(ii)  As a paid Member, you will automatically become a part of the Referral Agent and AdSpace Agent Income Programs, which are explained below.

(B)  Referral Program

(i)  This is not a multi-level, referral-networking marketing, or pyramid program of any type.  You can earn additional income by getting others to join.  This is "direct referral income program", meaning that it is only one (1) level as a "Referral" only.  If your Referral gets others to join, you do get a commission.  You are only entitled to a referral commission payment from a person you directly referred to ISGincome to join a Membership Income Program, and they have to pay their Membership Fee in full and remain a Member for more than thirty five (35) days before you can get paid on that referral.  There are no second, third or fourth levels.  One direct referral each - ONLY!

(ii)  If you refer a direct Referral, you will receive 20% of each Membership Fee your direct Referral paid to ISGincome to join a Membership Income Program, and 20% of their $75.00 ISGincome Monthly Payments paid to your Referral for each Membership of the Membership Income Program they are in, as long as your Referral remains in the Membership Income Program and receives the monthly $75.00 payment.

(iii)  BONUS: When you sign up twelve (12) new Referrals who pay their Membership Fee and do not cancel within the thirty (30) day cancellation / rescission period, ISGincome will give you a credit of $300.00 to buy another Membership Income Program for yourself to earn an additional $75.00 per month!  In simple terms... Each time you reach twelve (12) more new Member referrals, even after you have just reached your first twelve (12), every time you get twelve (12) new Referrals you get an additional credit of $300.00 for a Membership Income Program for yourself and another $75.00 per month.

(iv)  To earn the $300.00 Bonus Credit, you need to sign-up the twelve (12) Referrals and they have to pay their Membership Fee within a thirty (30) day period (in other words, all twelve (12) have to be signed-up and paid within a thirty (30) day period).  The thirty (30) day period starts on the 1st day of the month and ends on the last (30th or 31st) day of the month.

This $300.00 credit is not redeemable for cash - it can only be used to purchase an additional Membership Income Program Membership.

(C) AdSpace Agent Income Program

(i)  For successful advertising placement of a box or banner display ad on any one of ISGstores websites, you will be paid a commission of 25% of the paid Invoice of the advertiser you sold advertising space to.

(ii)  Commissions will only be paid on invoices that are paid-in-full and have not cancelled during the cancellation/rescission time period of thirty (30) days.

(iii)  You will be e-mailed information about the AdSpace Agent Income Program.

10.  NO PRESSURE TO JOIN

(i)  ISG Group companies do not push hype or show a dazzling, glittering web site to get you to join any ISGincome Membership Income Programs!

(ii)  We do not hold meetings or seminars or other rally-type programs to get you motivated or hyped-up!

(iii)  We DO NOT draw circles on white-boards in your living rooms!

(iv)  We do all of the work and YOU get paid starting in as little as to sixty (60) days!

                ......   We Guarantee It!!!

11.  RELATIONSHIP BETWEEN YOU AND ISG GROUP

(i) Type of Relationship:  You are not an employee, partner, or stockholder/shareholder of any type, kind, character or nature of ISG Group Companies or their related websites. You are an Independent Contractor Member earning commissions through ISGincome programs.  You are a Member in the ISGincome Membership Income Program and receive a benefit of a monthly payment as a Member and/or a commission on referrals of Memberships and/or advertisingt space.

(ii) Members Are Not Owners And Have No Voting Rights: No Member is an owner or partner or has any voting rights in any ISGincome Internet Store, Informational, and Penny Auction websites and their affiliated companies.

12.  TAXES - STATE AND FEDERAL

(i) Income Taxes & Other Deductions: ISGincome does not deduct taxes or make any other deductions from the monthly payments ISGincome pays you, with the exception of what you authorize ISGincome to deduct or any deductions required by law or the Courts. All of our ISGincome Membership Income Programs issue year-end IRS 1099 tax statements for the United States IRS and each State Tax Revenue Agency, where and when required. It is up to you to report your ISG Membership income.

(ii) You are solely responsible for filing your own state and federal tax forms and tax payments.

13.  PAYMENT OF MEMBERSHIP FEES TO ISGINCOME

(i) To participate in any program and get paid, you have to pay the required Membership Fee in full of the Membership Income Program(s) you join.

14.  ISGINCOME RESERVES RIGHT TO CLOSE-DOWN, SELL, OR TERMINATE ANY WEBSITE AND RELATED COMPANY

(i) There are some situations where ISGincome and ISGstores either fail to perform on their financial expectations or ISGstores and ISGincome need to sell an Internet Store, Informational website or Penny Auction website. ISG Group reserves the sole and exclusive right to close-down and/or terminate and/or suspend or sell any of its related websites and their related company, Domain Names(s), and other components used for the ISGincome Membership Income Programs, at anytime, whatsoever, without requiring the consent of any ISGincome Members (You).

(ii)  However, in the event ISGincome closes-down or sells a website, related Domain Name and/or its related company that you are assigned to, you will still make money or receive a "Membership Buy-Out Fee"... Here is how it works...

(iii) Calculating The ISG Membership Monthly Payments: All ISG Group websites are guaranteed to pay the Members each and every month for as long as they remain active and online and in the ownership of any one of the ISG Group's Companies. In the event any ISG Group company closes-down or sells a website that a Member or Members are assigned to, Your Membership will be either assigned to another website and You will continue receiving your monthly payments without any changes in your Membership Income Program, or your Membership will be cancelled and you will be paid a "Membership Buy-Out Fee" equal to three (3) months of payments you are receiving  For Example: If you are being paid $75.00 per month on your monthly Membership Income payments per Membership Agreement, you will be paid $225.00.

15.  MEMBERSHIP FEE PAYMENTS TO ISGINCOME

(i)  Your Membership Fee Payment Made To ISGincome: When You pay Your Membership Fee payment per Membership Agreement, the money is used to build Internet Stores, informational, and Penny Auction websites and pay operating expenses for ISGincome, ISGstores, ISGbids and its related programs, companies and websites as described.

16.  ISGINCOME PAYMENTS TO MEMBERS

(i) Payments To You: Starting in sixty (60) days or less (usually between thirty (30) to forty five (45) days) from the date You paid your Membership Fee to join a ISGincome Membership Income Program, ISGincome will start paying You the amount as agreed to in Your Membership Agreement.

(ii)  First Payment To You Is Pro-Rated: If you had joined after the first day of the month, you will be paid a pro-rated share of the first monthly payment from the date you signed up to be an active Member of the particular ISGincome Membership Income Program  For Example: The month is divided into thirty (30) days and so is your monthly income payment  If you joined on the 5th day of the month, then your monthly payment will paid for the first twenty-five (25) days  You will receive your first payment commencing thirty (30) to forty-five (45) days from the first day you paid your Membership Fee  For An Example On The Payment Date: Let us use January 5th as the day you paid your Membership Fee  You sign up and pay your Membership Fee on January 5th  The first monthly payment to you of the 25 days you are active for January will be paid between the 1st and 5th day of March.

(iii)  Your Membership Fee Is Paid Back To You: Using the example of a Membership Fee of $300.00, you will receive $75.00 per month  Over Your first four (4) months commencing on the first payment to you, your Membership Fee will be paid back in full. For An Example: Let us use January 5th as the day you paid your Membership Fee  You sign up and pay your Membership Fee on January 5th  The first monthly payment to you of the 25 days you are active for January will be paid between the 1st and 5th day of March. So, between March 1st and 5th, you will be paid $62.50  Then, between April 1st and 5th you will be paid $750.00, then between May 1st and 5th you will be paid $75.00, and between June 1st and 5th you will be paid $12.50... paying you back $300.00. After that point, your monthly income is pure residual.

17.  RESCISSION TIME PERIOD / RESCISSION NOTICE, LEGAL NOTICE OF RIGHT TO CANCEL DURING RESCISSION PERIOD

YOU CAN CANCEL/RESCIND THIS AGREEMENT WITHIN THIRTY (30) DAYS FROM DATE YOU PAID YOUR MEMBERSHIP FEE AND RECEIVE 100% REFUND LESS ANY MONEY PAID TO YOU DURING THIS 30 DAY CANCELLATION/RESCISSION PERIOD - NO QUESTIONS ASKED ("THE "RESCISSION TIME PERIOD")!

(i)  State and Federal Law require that in Consumer Contracts the Consumer (YOU) be provided a "RIGHT TO CANCEL AND RESCIND" contract (agreement) that they entered into and then changed your mind  The time periods in which to cancel and rescind vary from state to state between 3 to 10 days in which you have a right to cancel/rescind your Membership Agreement and receive a full refund of 100% of your payment, less any money paid to you during this 30 day cancellation/rescission period.

(ii)  ISGincome goes a step farther... YOU HAVE THIRTY (30) DAYS FROM THE DATE YOU PAID YOUR MEMBERSHIP FEE IN FULL IN WHICH TO CANCEL/RESCIND YOUR ISGINCOME MEMBERSHIP INCOME PROGRAM AGREEMENT, EXCLUSIVE OF THE DAY YOU PAID - NO QUESTIONS ASKED - 100% REFUND OF YOUR MEMBERSHIP FEE PAID LESS ANY MONEY PAID TO YOU BY ISGINCOME WITHIN THIS 30 DAY PERIOD.

(iii)  You will not have been deemd vested in the Membereship Income Program regarding earning your monthly payment until the cancellation/rescission period has ended.

(iv)  You will not be entitlede to the "buy-out" bonus if you or ISGincome cancels your Membership Agreement within this 30 day rescission time period.

18.  REFUNDS

(i)  General Refunds: Refund Period is thirty (30) days from the date ISGincome has received, fully cleared funds as payment for your Membership  For All Membership Income Programs refunds will only be paid within a thirty (30) day period commencing on the first day you paid your Membership Fee for that particular Membership Income Program.

(ii)  Requesting a Refund: To cancel a Membership Agreement and to request a refund within this thirty (30) period, you MUST send us three (3) written Refund Requests as follows: (1) Send a letter By U.S. Mail, Certified Return Receipt to the Refund Department at the address located in your Welcome Package; (2) send tw0 (two) e-mails to two different refund e-mail addresses also located in your Welcome Package and located on the Contact page in the ISGincome.com site under "REFUNDS"  All postal mail and e-mails MUST be dated with a date listed by the post office and the electronic date stamp on the e-mails within thirty (30) days from the date you signed up and paid your Membership Fee  ISGincome will refund your full Membership Fee within fifteen (15) business days from the date ISGincome has received your written Refund Requests.

(iii)  No Refund Requests will be processed in the event you have requested a refund through the PayPal network within this thirty (30) day period, as PayPal will contact ISGincome to refund, and ISGincome will not pay two (2) refunds  ISGincome will agree to the refund request from PayPal as long as it is done within this thirty (30) day period. After this thirty (30) day period has expired, no refunds requests will be processed  You agree that you will not use both PayPal refund request and request a refund directly from ISGincome  If you act and do these two (2) separate requests, then you agree to forfeit your refund to ISGincome  ISGincome reserves the exclusive right to hold-back any refunds in the event you have requested a refund from PayPal.

(iv)  In the event you have requested a refund from PayPal, you are required to send an e-mail to the two (2) separate e-mail addresses in the Welcome Package and on the Contact page under "REFUND" within forty-eight (48) hours of contacting PayPal and inform ISGincome that you have requested a refund from PayPal.

(v)  In the event an ISG Group website that your Membership Agreement is assigned to fails to perform as expected (cannot meet its financial obligations) and has to be closed (terminated) or merged with another website, or the products of that website have to be transferred to another website, ISGincome will first make every reasonable effort to place you with another website within its network website and continue your Membership, or, in the alternative, reserve the exclusive right to pay you a "buy-out bonus" of $500.00 plus any remaining balance owed on your Membership Fee, where ISGincome buys your Membership Agreement from you and terminates/cancels your Membership Agreement.

(vi)  No Hidden Surprises or Additional Fees: There are no hidden surprises on how any of the ISGincome Programs operate and what is expected of you and ISGincome, and there are no other hidden fees or charges. ISGincome tells you in advance about any changes or modifications to any of its programs or any new Membership or Program related fees and costs.

(vii)  In the event that ISGincome paid you your first monthly payment within the 30-day refund period, you will receive a refund of your Membership Fee paid less the money paid to you by ISGincome.

19.  CHANGES, MODIFICATIONS, ALTERATIONS

(i) Changes, Modifications & Updates To Rules And ISGincome Programs: ISGincome cannot make a contingency plan or a term and condition for each and every situation that may arise which may be unique to the ISGincome Membership Income Programs that ISGincome has no control over  Because of this, there may be situations and circumstances that ISGincome has not encountered nor prepared for, but would like to be able to plan for them in the future or correct them for the good benefit and in the best interest of all Members in the ISGincome Membership Income Programs and to protect the interests of the ISG Group companies  With this said, ISGincome reserves the right to modify, change, alter, add, delete, cancel or terminate any ISGincome Program, or add modify, change, alter, add, delete, cancel or terminate rules, terms and conditions and the way the ISGincome Membership Income Program(s) operate or Products(s) or Service(s) are sold, at any time, whatsoever.

20.  ARBITRATION OF ALL CLAIMS, & DISPUTES, LITIGATION & VENUE

(i)  Claims, Disputes & Arbitration: ISGincome cannot foresee what legal issues or disputes or changes in federal and state laws may occur affecting its Membership, policies, procedures, rules, terms and conditions. There may be instances where a situation or circumstance which is not anticipated or covered in the Membership Rules, or a Members is not satisfied with the program and whishes to bring legal suit  As such, and in the event that a Member feels he/she should bring a lawsuit or complaint, the following will apply to resolve the issue in controversy:

(ii)  First, once ISGincome Staff have been alerted to a situation regarding a Member, ISGincome first try and make every diligent effort and attempt to resolve disputes that it become aware of  ISGincome will work with is Member to amicably resolve the issue and do its best to correct any problem(s) that may arise, on a case-by-case basis  However, in all events when ISGincome is unable to amicably settle a dispute or other type of matter, ISGincome reserves the right to refer the matter to arbitration.

(iii)  In the event you wish to bring a lawsuit against ISGincome or any of its related companies, you agree to attend and participate in arbitration as required in these Rules, before one (1) Arbiter. The arbitration will be governed according to the Rules of The American Arbitration Association, governed by the laws of the State of Florida. Venue for all disputes through the courts and or arbitration shall be brought in Broward County, Florida. You will be bound by the decision of the Arbiter as if a Court of competent jurisdiction decided the merits of your claim.

(iv)  The prevailing party shall be entitled to recover their arbitration and court costs and legal fees and costs from the losing other party.

21.  NOTICES & CHANGES OF ADDRESS & OTHER RELATED INFORMATION

(i)  Addresses & Telephone Number Changes: ISGincome will inform you of any change in company street address and e-mail address(es) by e-mail and regular United States Postal Service Regular Mail. As a participating Member of ISGincome Membership Income Programs, you are required to notify ISGincome of any changes in your street and e-mail addresses (addresses) and telephone number within five (5) days of such changes in address(es) by both e-mail and by United States Postal Service Certified Mail.

(ii)  Notification of Any Changes in Rules: Form time to time ISGincome will modify, change or alter the rules (terms and conditions) of the Membership. In the event there is a rule change, or any other modification or alteration, ISGincome will inform you in writing by e-mail to the e-mail address you provided ISGincome.

22.  MEMBERSHIP AGREEMENT NON-TRANSFERRABLE

(i) Non-Transferable or Assignable Membership Agreement. Upon the death of the Member, this ISGincome Agreement and Membership will cease, cancel and terminate.

23.  SEVERABILITY CLAUSE

(i)  In the event that a court of competent jurisdiction finds any term or clause in this Agreement to be invalid, unenforceable, or illegal, the same will not have an impact on other terms or clauses in the Agreement or the entire Agreement. However, such a term or clause may be revised to the extent required according to the opinion of the court to render the Agreement enforceable or valid, and the rights and responsibilities of the parties shall be interpreted and enforced accordingly, so as to preserve their agreement and intent to the fullest possible extent.

24.  CHANGE IN LAW

(i)  In the event that any changes in local, state or federal law shall take affect prohibiting the operation of any of the ISGincome Membership Programs, and the Internet Store website that you are a Member of ceases operations, ISGincome will terminate/cancel your Membership Agreement immediately and pay a pro-rated share of the monthly Settlement Payment to you.

25  FALSE INFORMATION PROVIDED BY MEMBER TO ISGINCOME

(i).  To protect the integrity of ISGincome, ISG Group, its Companies, its websites, its Members, its Income Programs and its Staff, in the event ISGincome becomes aware that the Member has provided false and/or misleading information, or has omitted required information after the information has been requested, will automatically terminate this Membership Agreement and no refunds or monthly payments will be paid to you.

26.  PRIVACY POLICY

(i)  Ultimate Privacy Policy...

(a)  VERY SIMPLY PUT...YOUR INFORMATION REMAINS SECURE.

(b)  NO ONE GETS YOUR INFORMATION.

(c)  WE DO NOT... SHARE, TRADE OR SELL YOUR INFORMATION.

(d)  COURT ORDER REQUIRED TO GET YOUR INFORMATION.

            IT'S THAT SIMPLE - PERIOD!!!

27.  ONLY A LIMITED NUMBER OF MEMBERSHIPS AVAILABLE

(i)  As with all business, there comes a saturation point  There are only a maximum number of Internet Store, Informational, and Penny Auctions websites that can reasonably be built by ISGstores and ISGbids through ISGincome, and, as such, there are only a limited number of Memberships are available  ISGstores, ISGbids, and ISGincome are not looking to offer tens of thousands of Memberships to the public  We will offer the number of Membership as our network can work with.  As we grow, ISGincome will update this website informing the public when ISGincome has reached its maximum Membership limit and that no more Memberships are available.

28.  PAYPAL ACCOUNT REQUIRED - YOU PAYMENTS ARE MADE INTO YOU PAYPAL ACCOUNT

(i)  All monthly Membership Payments are paid directly into your PayPal Account.  If you do not have a PayPal account, you must sign-up for a PayPal account and order their debit card and inform ISGincome of your e-mail address used for your PayPal account.

29.  ADDITIONAL FUTURE MEMBER BENEFITS

(i)  As ISGstores is building the Internet Store and Informational websites and ISGbids is building the Penny Auction websites, ISGincome will be creating an additional "Member Benefits Program" to show you our appreciation for being valued Members and supporters of our Internet/Online Stor Network and other projects  We envision offering the Members benefits such as product discounts, a Lottery Club (where legal), and other benefits.

30.  AFTER PAYING YOUR MEMBERSHIP FEE

(i)  After ISGincome has received your full payment, you will then be sent an e-mail within twenty four (24) hours or less about the Membership Income Program. After you receive the e-mail, you reply to the e-mail that you either agree to continue or you want to cancel your Membership. Additionally, even if you continue, you still have ten (10) days to cancel your Membership Agreement and receive a full refund back to the PayPal account you or debit or credit card you paid from. . Then, in thirty (30) to forty five (45) days, depending upon your monthly payment cycle is calculated from the date you paid your Membership Fee, you start receiving a guaranteed, monthly income from the specific ISG Internet Store website your Membership is assigned to.

31.  NO ELECTRONIC BACK OFFICE AT THIS TIME

(i)  In this Membership Income Program, at this time there is no "Back Office" or "Member Area" in the ISGincome software for you to log into and check your payments  For payment tracking you need to use your PayPal account  In the future, ISGincome may incorporate a Member Software system for Member benefits.

32.  ELECTRONIC, VIDEO. MESSAGING, FAX, TELEPHONIC AND OTHER COMMUNICATIONS

You agree that ISG Group Companies may contact you through electronic and telephone messaging, video chat, telephonic communications, and through other communications medium regarding ISG Group Companies programs, benefits, updates, solicitations.

33.  ISGCHARITYBIDS DONATION & ISGBIDS Penny Auction WEBSITES & BIDPAKS

(i)  There are two (2) types of Penny Auctions offered by ISGincome, ISGbids, and ISGstores for North America:  (1) ISGcharitybids North America (to raise money for non-profit and religious organizations); and (2) ISGbids North America (for profit for the operator of the Penny Auction site).  Both of these Penny Auction websites are operated and managed by ISGbids Group USA.

(ii)  Upon joining a Membership Income Program, ISGincome will give the Member, no cost to the Member, "bid" credits (referred to as "Bid"Paks" or "Bid Credits"), valued at certain United States Dollar currency amounts.  These free bid credits cannot be exchanged or traded for cash and must be used in full within a thirty (30) day period from the time you are notified of an upcoming Penny Auction, and can be used to bid for items/products on ISGcharitybids.con and ISGbids.com Penny Auction sites.  Only those unused bids or bidpaks that you purchased can be refunded for cash.  An e-maill will be sent to you regarding the ISGcharitybids and ISGbids Penny Auctions with dates and times of the upcoming Penny Auctions.

(iii)  After you have received your "Penny Auction" confirmation e-mail with the dates and times of the sponsored, charity Penny Auctions, in the event you fail to participate in the charity Penny Auctions and use the bids provided to you by ISGincome within this fifteen (10 day required time period, you will forfeit and lose these free bids.

(iv)  To maintain your Membership, you must purchase and use a minimum of $25.00 of bids each month (within a calendar month).  Failure to do this will automatically yerminate youe Membership.

34.  USE OF WEBSITE COOKIES

(i)  All ISG Group Companies websites use "cookies", and are only used to improve the ISG Group website and are not used to collect personal data of any kind with the exception of how you use the websites, and you agree to accept the cookies when you are visiting any of the ISG Group website when requested to do so.

35.  COPYRIGHT AND TRADEMARK MATERIAL

All content, site design and other website material of ISGstores Group USA, Inc.; ISGbids Bids Group, Inc.; ISG Charity Bids Group, Inc.; and ISGincome is protected under national and International registration, copyright and trademark laws and cannot be duplicated, copies, used, without the expressed, written permission of ISG Group Companies.

36.  SIGNING-UP/JOINING ADDITIONAL MEMBERSHIPS

MEMBERSHIP FEE IS $300.00 (USD) PER MEMBERSHIP.  ONE MEMBERSHIP AGREEMENT PER MEMBERSHIP.  THE $300.00 (USD) MEMBERSHIP FEE ENTITLES YOU TO RECEIVE $75.00 PER MONTH AS PER MEMBERSHIP INCOME PROGRAM RULES.  AS STATED IN THIS RULES & AGREEMENT YOU CAN INCREASE YOUR MONTHLY INCOME BY JOINING AS MANY MEMBERSHIPS AND PAYING THE $300.00 (USD) MEMBERSHIP FEE PER MEMBERSHIP... AND RECIEVE AN ADDTIONAL $75.00 (USD) PER MONTH, PER EACH MEMBESHIP YOU JOIINED.  THE TOTAL AMOUNT YOU PAY ISGINCOME THROUGH PAYPAL IN $300.00 (USD) INCREMENTS IN THIS APPLICATION DETERMINES HOW MANY MEMBERSHIPS YOU HAVE JOINED. AFTER YOU COMPLETE SIGNING-UP THROUGH THIS APPLICATION AND WANT TO JOIN ADDITIONAL MEMBERSHIPS, YOU NEED TO RETURN HERE AND COMPLETE A NEW APPLICATION FOR THE NEW MEMBERSHIPS  VERY IMPORTANT:  FOR THOSE OF YOU WHO JOINED UNDER A SPONSOR, IF YOU WANT TO JOIN ADDITIONAL MEMBERSHIPS, YOU MUST SIGN-UP UNDER YOUR SPONSOR OR YOUR MEMBERSHIP APPLICATION WILL BE DENIED/REJECTED.

37.  RANDOM ASSIGNMENT OF INCOME PROGRAMS

ISGincome reserves the right to assign Membership Income Programs randomly to any ISGincome, ISGstores and Penny Auction website at its sole discretion.

ISGincome makes everly diligent effort to honor your Membership Income Program placement requests.)

38.  RIGHT TO ACCEPT OR REJECT/DENY APPLICATION

(i)  Any one of the ISG Group Companies may accept or reject/deny a Membership Income Program Application and Membership Fee or Referral Agent or AdSpace Sales Agent Application at its sole and exclusive discretion, for any reason whatsoever.

(ii)  In the event that all of the Membership Income Program positions have been taken, your Membership Fee will be refunded and you will be notified of the same.

39.  PAYPAL MAY CHARGE FEES

(i)  PayPal may charge you a fee or fees for the payment ISGincome pays you each month.

(ii)  PayPal may charge fees for the transaction of ISGincome paying you and deduct these fees from your payment by ISGincome.

(iii)  ISGincome will pay you the full amount agreed to in your Membership Income Program, less any deductions for charges and fees by PayPal.

(iv)  ISGincome and ISG Group companies are not responsibile for these fees and deductions.

40.  NO HIDDEN COSTS/FEES/SURPRISES

(i)  No Hidden Surprises or Additional Costs & Fees: There are no hidden surprises on how any of the ISGincome Programs operate and what is expected of you and ISGincome, and there are no other hidden fees or charges  ISGincome tells you in advance about any changes or modifications to any of its programs or any new Membership or Program related fees and costs.

41.  FORCE MAJEURE

Neither any ISG Group Company or their staff, management, employees, representatives shall be liable for any failure or delay in performance of its obligations under this Agreement arising out of or caused, directly or indirectly, by circumstances beyond its reasonable control, including, without limitation, acts of God; sickness and virus of mankind; shutdown of locality due to virus(es); earthquakes; fires; floods; wars; civil or military disturbances; acts of terrorism; sabotage; strikes; epidemics; riots; power failures; computer failure and any such circumstances beyond its reasonable control as may cause interruption, loss or malfunction of utility, transportation, computer (hardware or software) or telephone communication service; accidents; labor disputes; acts of civil or military authority; governmental actions; or inability to obtain labor, material, equipment or transportation.

42.  GOVERNING LAW & VENUE

(i)  The Member (You) and ISG Group Companies agree that this Membership Income Program Agreement shall be governed by the laws of the State of Florida.

(ii)  In the event an issue or issues of controversy shall arise from this Agreement, the issue or legal claims shall be brought in Broward County, Florida.

43.  WAIVER

(i)  The failure by either the Member or any of the ISG Group Companies to exercise any right, power or privilege under the terms of this Membership Income Program Agreement will not be construed as a waiver of any subsequent or further exercise of that right, power or privilege or the exercise of any other right, power or privilege.

44.  LEGAL AND BINDING AGREEMENT

(i)  This Membership Income Program Agreement is legal and binding between the You (Member) and ISG Group Companies.

(ii)  This Agreement may be entered into and is legal and binding both in the United States and Internationally.

(iii)  You and ISGincome each represent that you have the authority to enter into this Agreement.

45.  ENTIRE AGREEMENT

(i)  This ISG Membership Income Program Agreement constitutes the entire agreement and voids any prior oral or written agreement(s)  You hereby state that no promises, warrantees or guarantees have been made verbally or in writing to you by the ISGincome other than what is written in this Agreement and that any promises, warrantees or guarantees that may have been made to you by the ISGincome prior to signing this Agreement are null and void and cancelled and are longer in force and effect, and this Agreement will supersede all other Agreements or Statements made, whether made verbally or in writing.

MEMBER ACKNOWLEDGEMENT STATEMENT I HEREBY STATE THAT I WANT TO JOIN AN ISGINCOME MEMBERSHIP INCOME PROGRAM AND PAY THE REQUIRED MEMBERSHIP FEE OF EACH MEMBERSHIP INCOME PROGRAM I JOIN, AND THAT I AM OVER THE AGE OF 18 YEARS, AND FURTHER STATE THAT: I have read this MEMBERSHIP APPLICATION, AGREEMENT & RULES (terms and conditions) and state that I understand the Rules and its terms and conditions as stated, and I further state, and upon the payment of my Membership Fee of the program of my choice, I understand that am bound by the Rules (terms and conditions) of this Membership Agreement and agree to abide by the terms and conditions of this Membership Agreement, and that the information about me that I have provided to ISGincome is true and correct  I further understand and agree that in the event I do not pay my Membership Fee for the Application I have submitted, that my Membership will not be valid and become active until I pay the Membership Fee of the Membership Income Program I want to join, and the payment of $300.00 Membership Fee is only for one (1) Membership Income Program, and that in the event I want to increase my monthly income that I can join as many Memberships in the Membership Income Program as I desire by paying an additional $300.00 Membership Fee for each Membership Income Program I join. I agree that by paying my required Membership Fee, that I am in-effect executing (signing) this Membership Agreement electronically and joining the Membership Income Program.
